Terms & Conditions

Template HR Ltd owns and operates www.templatehr.co.uk (the Site) and the content and products offered to users of the site. These terms and conditions are a legal agreement between Template HR Ltd and you.
Please review our privacy policy which explains how we collect, use and disclose personal information.

1. Acceptance of Terms

By registering for or using our services in any manner, including but not limited to visiting or browsing the Site, you agree to these terms and all other operating rules that may be published from time to time without notice to you. The Site offers users the ability to browse and purchase as a “Buyer”.

2. Permitted Use

Subject to the purchase of Site content and the restrictions detailed in Clause 3 of these terms and conditions, you shall be granted a non-exclusive perpetual licence to use any of the purchased document template, information or other material contained therein for your own personal and/or business use.
 

The perpetual licence rights also permits making copies, modifying, merging, reproduce, printing all or any part of the document.

3. Exceptions and Restrictions

Use of this product is subject to the following exceptions and restrictions:


a) At no time will you sell any of the product (or any part thereof) to any third party;
b) At no time will you distribute any of the template letters, form, policy’s or any information
or other item contained within the Template HR Product (or any part thereof) to third
parties either free of charge or for sale or resale be it as part of a package or as a separate
product;
c) At no time will you rent, lease, sub-licence or loan any of the Products (or any part thereof)
to third parties
d) At no time will you use the Template HR Products (or any part thereof) for any purpose
which rivals or competes with Template HR. In the event of a dispute between a purchaser
and Template HR it shall be for Template HR to define "rival" and/or "competing" purposes

 

Subject to the above clauses, it is permissible to use the Template HR products in the course of your business to facilitate and manage all pertinent business affairs, which purpose may necessitate the distribution of copies of the document templates, information or other items incorporated within the templates to third parties.
 

The constraints within sub-Clause 3.1 are subject to the provisions of the Copyright Designs and Patents Act 1988. Template HR waives its rights to be identified as author of its products as contained in Sections 77 – 79 of that Act.

 

The copyright and all other pertinent intellectual property rights in the Product remain the sole property of Template HR.
 

The restrictions contained in Clause 3 of these terms and conditions apply to the Product, any and all parts thereof, and any secondary documents generated by purchasers using the same. You acknowledge that Template HR document templates, information and other items included on our website are purchased on the basis that they are not products created for your specific business and it is your responsibility to ensure that you are entitled to prepare and customise Template HR document templates as may be required by law.

4. Payments

All transactions processed by this Site will be handled by Stripe, Inc. No payment details are held by Template HR Ltd.
Payments are taken for download access to both single document and folders of documents for a period of 12 months from purchase only.
All prices are inclusive of Value Added Tax and confirmation of payment will be sent via email.

5. Accounts and Passwords

You agree to;


a) Keep your password secure and confidential and to not allow anyone else to use your email address or password to access the Site;
b) Not do anything which would assist anyone who is not a registered user to gain access to any secured area of the Site;
c) If you think someone has obtained your account details, you must let us know immediately via email to info@tempaltehr.co.uk and we will close your account.

 

You agree that you will be responsible to Template HR for all activity that occurs under your account.

6. Information You Provide

You agree to provide only true, accurate and complete information to us or the Site.

7. Site Content

The Site is intended only for the purposes specified on the Site and use of site content is entirely at your own risk. Although Template HR endeavours to provide accurate and up-to-date information, the Content may not be wholly accurate and is subject to change. All content is provided as template examples only and without any representations or warranties of any kind to the fullest extent permitted by applicable law. Although, Template HR Ltd will endeavour to correct any inaccuracies in a timely manner, it is not warranted that site content will be free of defects and certain content may become temporarily unavailable due to outages or other problems.

8. Hacking

You agree and undertake not to attempt damage, deny service to, hack, crack, reverse-engineer, or otherwise interfere with the Site in any manner. If you in any way interfere with the Site, you agree to pay all damages incurred by Template HR. Template HR will cooperate with the authorities in prosecuting any user who interferes with the Site or otherwise attempts to defraud Template HR. User agrees that we may block users IP address or account at any time.

9. Submitting Feedback

We appreciate hearing from our users and welcome your input regarding our Site, including any content and services. If you make a submission to Template HR, whether through this Site, email, social media platform or otherwise, including customer service requests, comments, suggestions, reviews feedback, creative ideas or other communication, you hereby grant us a non-exclusive, royalty free, fully paid, unlimited, sublicensable and irrevocable licence in any and all manner to use reproduce, licence, distribute, modify, adapt and publicly display those submissions.

 

We reserve the right to cut, edit or arrange your feedback submissions as necessary for any purpose and to remove the material at any time.

10. User Disputes

We are not responsible for any disputes or disagreements between you and any third-party you interact with in connection with your use of the Site. You assume all risk with using Site, including the content and services. You agree to resolve disputes directly with any such third-party. You release and indemnify Template HR for all claims, demands, fines, penalties, costs, expenses and damages in any dispute due to the use of purchased content. You agree to use caution and common sense when using the Site.

11. Termination

You may close you account at any time by sending an email to info@templatehr.co.uk from the email address associated with your account. Template HR may at any time terminate an account if, in our sole discretion, we believe that you may have breached any term herein, or if we are legally required to do so by law.

12. Disclaimer

We do not warrant the accuracy, or reliability of any content posted on or in connection with the Site. By using the Site you accept the risk that you might be exposed to content that is objectionable and templated on a generic basis.

You understand and expressly agree that your use of the Site and its content is at your sole risk. The users disclaim all warranties as to any products i) fitness for a particular purpose, ii) will meet your requirements, iii) quality will meet your expectations. Any material downloaded or otherwise obtained through the use of the Site is accessed at your own discretion and risk, and you will be solely responsible for any damage to your device that results from the use of any such material.

13. Limitation of Liability

You expressly understand and agree that Template HR Ltd will not be liable to you for any direct,
indirect, incidental, special, consequential or exemplary damages, including damages for loss of
profits, data or other tangible losses, resulting from the below;

a) The use or the inability to use the Site;
b) Unauthorised access to or alteration of your transmissions or data;
c) Your use or reliance on content made available by Template HR.

14. Intellectual Property Infringement

If you believe that any materials on this Site infringe copyright, please send the following

a) Your name, address and email address;
b) A description of the work that you claim is being infringed;
c) A description of your interest or rights with respect to the work you claim is being infringed;
d) An electronic or physical signature of the copyright owner
If you do not follow these requirements, your notice may not be valid.

15. Law and Jurisdiction

These terms will be governed and will be construed in accordance with the laws of England and Wales, without giving effect to any conflicts of laws, rules or provisions. You agree that any action of whatever nature arising from or relating to these terms, will only be filed within the United Kingdom.

INDEMNITY

You agree to indemnify, defend, and hold harmless Template HR Ltd for and against any and all claims, costs, proceedings, demands, losses, damages and expenses of any kind or nature arising from, or in connection with i) these Terms, ii) use of this Site.

 

You further undertake to indemnify Template HR Ltd in relation to any third-party claim against Template HR Ltd infringement of intellectual property rights arising in relation to your provision of materials to the Site. Template HR Ltd may select counsel for and control the defence of any claim that you are indemnifying.
